Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Summrs LLC (“Summrs,” “we,” “us,” or “our”) governing your access to and use of the Summrs platform, including our website, services, and applications (collectively, the “Service”). By accessing or using Summrs, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Eligibility

You must be at least 13 years old to use Summrs. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using Summrs, you represent and warrant that you meet these eligibility requirements.

Account Registration

• You must create an account to use certain features of Summrs.
• You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized access or security breach.
• We reserve the right to suspend or terminate accounts that violate these Terms.

License and Usage

License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial use.

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws.
• Upload content that infringes on intellectual property rights, contains malware, or is harmful, abusive, or offensive.
• Attempt to reverse engineer, decompile, or hack the Service or our AI models.
• Use automated tools (bots, scrapers) to access the Service without permission.
• Share your account credentials or allow others to use your account.
• Circumvent credit limits, payment systems, or any security measures.
• Interfere with or disrupt the Service or servers.
• Use the Service to create competing products or services.

Content and Intellectual Property

Your Content

• You retain all ownership rights to photos and content you upload (“Your Content”).
• You grant us a limited license to store, process, and edit Your Content to provide the Service.
• You represent that you own or have the necessary rights to upload and edit Your Content.
• You are responsible for ensuring Your Content does not violate third-party rights or laws.

Our Content

The Service, including its design, code, AI models, algorithms, and all intellectual property, is owned by Summrs LLC and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.

Edited Images

You own the edited images produced by the Service. You may use them for personal or commercial purposes. We do not claim ownership of your edited images.

Subscription and Payments

Free Trial

New users receive 10 free credits to grade their first photos. No credit card is required for the free trial.

Subscription Plans

• Pro Plan: $15/month for 200 credits, billed monthly.
• Credits accumulate each billing cycle and do not expire while your subscription is active.
• Chat edits (refinements to graded photos) are unlimited and do not consume credits.
• Subscriptions automatically renew unless canceled before the renewal date.

Credit Top-Ups

• One-time credit purchases: 50 credits ($5), 200 credits ($15), or 600 credits ($40).
• Purchased credits never expire.

Payments

• All payments are processed securely through Stripe.
• You authorize us to charge your payment method for subscription renewals and purchases.
• Prices are subject to change with 30 days' notice.

Refunds

Due to the nature of digital services and AI processing costs, all payments are final and non-refundable, except as required by law or at our sole discretion. Unused credits are forfeited upon account deletion.

Cancellation

You may cancel your subscription at any time through the Stripe billing portal. Cancellation takes effect at the end of the current billing period. You will retain access to subscription benefits until the end of the paid period.

Service Availability

We strive to provide reliable and uninterrupted service, but we do not guarantee that the Service will always be available, error-free, or secure. We may modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable for any downtime or service interruptions.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Guarantees that the Service will meet your requirements or expectations.
• Guarantees regarding the accuracy, quality, or results of AI-generated edits.
• Warranties that the Service will be uninterrupted, secure, or error-free.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMMRS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• Damages resulting from your use or inability to use the Service.
• Damages resulting from unauthorized access to your data or content.
• Any claims arising from third-party services (Stripe, AWS, etc.).

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Summrs LLC, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) Your Content.

Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for:

• Violation of these Terms.
• Fraudulent, abusive, or illegal activity.
• Non-payment of fees.
• Any reason at our sole discretion.

Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through your account settings.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will take place in Delaware. You waive your right to a jury trial and to participate in class actions.

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.

Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on this page and updating the “Last updated” date. Material changes may also be communicated via email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Summrs.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign or transfer these Terms. We may assign our rights without restriction.
